Free App – Legal Stuff.

1. End User Licence Agreement (EULA)

1.1 Grant of Licence

The Business Central Team Limited ("Publisher") grants you a non-exclusive, non-transferable, revocable licence to install and use this application ("App") solely within your Microsoft Dynamics 365 Business Central environment.

This licence is provided free of charge unless otherwise stated.

1.2 Ownership

The App, including all source code, designs, trademarks, documentation and intellectual property rights, remains the sole property of The Business Central Team Limited.

No ownership rights are transferred to the user.

1.3 Restrictions

You may not:

  • Reverse engineer, decompile or disassemble the App except where permitted by law.

  • Redistribute the App outside Microsoft-authorised channels.

  • Remove copyright notices or proprietary markings.

  • Use the App in any unlawful manner.

1.4 Updates

The Publisher may provide updates, bug fixes, security improvements and new features without prior notice.

Installation of future updates may be required to maintain compatibility with Business Central.

1.5 Termination

This licence terminates automatically if you breach any term of this agreement.

Upon termination you must cease using the App and remove it from your environment.

1.6 Disclaimer of Warranty

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PUBLISHER DISCLAIMS ALL WARRANTIES INCLUDING:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY OR COMPLETENESS OF RESULTS

1.7 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE PUBLISHER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES INCLUDING:

  • LOSS OF PROFITS

  • LOSS OF DATA

  • BUSINESS INTERRUPTION

  • LOSS OF GOODWILL

THE PUBLISHER'S TOTAL LIABILITY SHALL NOT EXCEED £100 OR THE AMOUNT PAID FOR THE APP, WHICHEVER IS GREATER.

1.8 Governing Law

This agreement is governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

2. Privacy Policy

Purpose

The Publisher respects user privacy and is committed to protecting personal data.

Data Collection

The App is designed to operate within Microsoft Dynamics 365 Business Central.

Unless specifically stated in the App documentation, the App:

  • Does not collect personal data outside Business Central.

  • Does not transmit customer data to external services.

  • Does not sell or share personal data.

Customer Data

All customer data remains under the control of the Business Central tenant owner.

The Publisher does not claim ownership of any customer data processed by the App.

Microsoft Services

The App operates within Microsoft's cloud platform and may use Microsoft-provided services subject to Microsoft's own privacy policies and terms.

Security

Reasonable technical and organisational measures are used to secure systems under the Publisher's control.

However, no system can be guaranteed completely secure.

3. Support Policy

Free Community Support

This App is provided free of charge.

Support is provided on a reasonable endeavours basis and requests for support can be sent to support@business-central.team

Support may include:

  • Installation assistance

  • Bug reporting

  • Clarification of functionality

  • Compatibility guidance

Response Times

No guaranteed response times are provided.

Support is offered during normal UK business hours where available.

Feature Requests

Feature requests are welcomed but are not guaranteed to be implemented.

Paid Consultancy

Where required, additional consultancy and bespoke development services may be available under separate commercial agreements.

4. Data Processing Statement

Data Controller

Customers remain the Data Controller for any personal data processed through Business Central.

Data Processor

The Publisher acts only as a software provider unless a separate services agreement exists.

GDPR Compliance

The Publisher intends that the App supports compliance with:

  • UK GDPR

  • EU GDPR

  • Data Protection Act 2018

Customers remain responsible for ensuring their own compliance obligations are met.

Cross Border Transfers

Unless specifically documented, the App does not transfer data outside Microsoft-managed services.

5. Third Party Components Notice
The App may incorporate standard Microsoft Business Central platform functionality.

All Microsoft products, trademarks and services remain the property of Microsoft Corporation.

Any additional third-party libraries used within the App shall remain subject to their respective licences.

6. Security and Compliance Statement
The Publisher follows secure development practices including:

  • Source control management

  • Change management processes

  • Access control practices

  • Security patching where applicable

However, customers remain responsible for:

  • Their Business Central security configuration

  • User permissions

  • Microsoft tenant security

  • Backup and recovery processes

. 7. Open Source Statement

Where open source components are included, these components remain subject to their original licences.

A list of applicable licences will be provided upon request.

 

Paid App – Monthly Subscription Legal Stuff

Important note

These terms apply where an App supplied by The Business Central Team Limited is provided as a paid monthly subscription rather than as a free App.

These terms are intended to operate alongside the general End User Licence Agreement, Privacy Policy, Data Processing Statement, Security and Compliance Statement, and any separate order form, invoice, quotation, proposal, Microsoft AppSource listing, or written commercial agreement agreed with the customer.

If there is any conflict between these paid subscription terms and a separately agreed written commercial agreement, the separately agreed written commercial agreement shall take precedence for the specific App and subscription concerned.

1. Paid Subscription Licence

1.1 Grant of Licence

Subject to payment of the applicable monthly subscription fees, The Business Central Team Limited ("Publisher") grants you a non-exclusive, non-transferable, revocable licence to install and use the application ("App") solely within your Microsoft Dynamics 365 Business Central environment.

The App is licensed, not sold, and no ownership rights are transferred to the customer.

1.2 Subscription Basis

The App is supplied on a monthly subscription basis unless otherwise stated in writing.

The subscription permits use of the App only for the customer, tenant, company, environment, users, or other licensing scope specified in the applicable order, invoice, quotation, AppSource listing, licence key, or written agreement.

1.3 Licence Restrictions

You may not:

  • Reverse engineer, decompile or disassemble the App except where permitted by law.

  • Redistribute, resell, sublicense, rent, lease or make the App available to any third party without prior written consent.

  • Remove copyright notices or proprietary markings.

  • Use the App in any unlawful manner.

  • Attempt to bypass, disable or interfere with any licensing, activation, usage control, subscription validation or security mechanism.

2. Fees, Payment and Subscription Management

2.1 Monthly Fees

The customer agrees to pay the applicable monthly subscription fees for the App in accordance with the payment terms stated in the relevant invoice, order, quotation, AppSource listing, payment platform or written agreement.

Subscription fees are payable monthly in advance unless otherwise stated in writing.

2.2 Taxes

All fees are exclusive of VAT and any other applicable taxes unless expressly stated otherwise.

The customer is responsible for payment of all applicable taxes, duties or charges arising from the purchase or use of the App.

2.3 Failed or Late Payment

If payment is late, declined, disputed, reversed or otherwise not received when due, the Publisher may suspend or restrict access to the App, withhold support, or terminate the subscription.

The customer remains responsible for any unpaid fees accrued before suspension or termination.

2.4 Cancellation

The customer may cancel the monthly subscription in accordance with the cancellation process stated in the relevant order, invoice, AppSource listing, payment platform or written agreement.

Unless otherwise stated in writing, cancellation takes effect at the end of the then-current monthly subscription period.

Fees already paid are non-refundable except where required by law or expressly agreed in writing.

3. Support Policy for Paid Monthly Subscription Apps

3.1 Support Contact

Support requests should be sent to support@business-central.team unless another support route is specified for the App.

3.2 Support Hours

Support is provided during normal UK business hours, Monday to Friday, excluding bank holidays in England and Wales.

3.3 Support Response Time

For paid monthly subscription Apps, the target support response time is the next working day, Monday to Friday, excluding bank holidays in England and Wales.

A working day means a weekday on which banks are generally open in England and Wales.

The response time is a target for initial acknowledgement and triage, not a guaranteed resolution time.

3.4 Support Scope

Support may include:

  • Installation guidance for the App.

  • Assistance with configuration relating directly to the App.

  • Bug reporting and investigation.

  • Clarification of App functionality.

  • Compatibility guidance relating to supported versions of Microsoft Dynamics 365 Business Central.

3.5 Exclusions from Standard Support

Standard support does not include:

  • General Business Central training or consultancy unrelated to the App.

  • Bespoke development or customer-specific modifications.

  • Support for third-party extensions, integrations, data issues or Microsoft platform outages.

  • Issues caused by unsupported customisations, incorrect configuration, user permissions, tenant security settings or customer infrastructure.

  • Out-of-hours support unless separately agreed in writing.

Where required, additional consultancy, development or priority support may be available under a separate commercial agreement.

4. Updates, Availability and Changes

4.1 Updates

The Publisher may provide updates, bug fixes, security improvements and new features from time to time.

Installation of updates may be required to maintain compatibility with Microsoft Dynamics 365 Business Central.

4.2 Availability

The App operates within the customer’s Microsoft Dynamics 365 Business Central environment and may depend on Microsoft services, tenant availability, customer configuration and third-party systems.

The Publisher does not guarantee uninterrupted or error-free operation of the App.

4.3 Changes to the App or Subscription

The Publisher may change, enhance, withdraw, replace or discontinue features of the App where reasonably necessary for security, compatibility, legal, commercial or operational reasons.

Where practical, the Publisher will provide reasonable notice of material changes affecting paid subscription customers.

5. Termination and Suspension

5.1 Termination for Breach

The Publisher may suspend or terminate the subscription if the customer breaches these terms, fails to pay fees when due, misuses the App, attempts to bypass licence controls, or uses the App unlawfully.

5.2 Effect of Termination

Upon termination or expiry of the subscription, the customer must cease using the App and remove it from their Business Central environment where required.

Any rights granted under the paid subscription licence will end when the subscription ends.

5.3 Survival

Terms relating to ownership, confidentiality, payment obligations, limitation of liability, data protection, governing law and restrictions on use shall continue to apply after termination where relevant.

6. Privacy, Data Processing and Customer Data

The App is designed to operate within Microsoft Dynamics 365 Business Central.

Unless specifically stated in the App documentation, the App does not collect personal data outside Business Central, does not transmit customer data to external services, and does not sell or share personal data.

Customers remain the Data Controller for personal data processed through Business Central.

The Publisher acts only as a software provider unless a separate services agreement or data processing agreement states otherwise.

All customer data remains under the control of the Business Central tenant owner.

7. Warranty Disclaimer and Limitation of Liability

7.1 Warranty Disclaimer

Except as expressly stated in writing, the App is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, the Publisher disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness and uninterrupted operation.

7.2 Limitation of Liability

To the maximum extent permitted by law, the Publisher shall not be liable for indirect, incidental, special or consequential damages, including loss of profits, loss of data, business interruption or loss of goodwill.

Unless otherwise agreed in writing, the Publisher’s total liability arising from a paid monthly subscription App shall not exceed the fees paid by the customer for that App during the three months immediately preceding the event giving rise to the claim.

8. Governing Law

These paid monthly subscription terms are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
